ProsperOps Live Demo Promotion Terms and Conditions

By registering for the ProsperOps Live Demo Promotion (the “Giveaway), you agree to these Terms and Conditions. All registrants (a) expressly consent to the use of their name and likeness in ProsperOps publicity and marketing and (b) expressly authorize ProsperOps to contact them using the contact information provided by registrant (see Publicity and Contact section below). The Giveaway is subject to all federal, state, and local laws and regulations. Void where prohibited.

You may register for the Giveaway by submitting a Demo request form at: https://www.prosperops.com/live-demo-promotion/ during the Dates listed above. ProsperOps will distribute Prizes to registrants on a first come, first serve basis provided: (i) the registrant is eligible to participate in the Giveaway pursuant to these Terms and Conditions, and (ii) registrant (or registrant’s company, as applicable) completes a Live Demo with ProsperOps within thirty (30) days following registrant’s submission of the web form listed above. Submission of the web form does not guarantee eligibility or receipt of a Prize. One (1) Prize will be distributed to each eligible registrants on a first come, first serve basis while supplies last.  

Eligibility: The ProsperOps Live Demo Promotion (the “Giveaway”) is open only to legal residents of the United States who are at least eighteen (18) years old at the time of entry and who are in a decision-making role at a company (with the authority to engage third party vendors on behalf of such company) that has no less than one hundred thousand dollars ($100,000.00) minimum monthly cloud spend with one of the following (or a combination of the following): Amazon Web Services, Google Cloud, Microsoft Azure. The following individuals are not eligible to participate in the Giveaway: 

  • No affiliation with Sponsor. You may not register if you are: (a) a ProsperOps employee or contractor (“ProsperOps Personnel”), a family member of ProsperOps Personnel, or live in the same household with ProsperOps Personnel; (b) an employee or contractor of any ProsperOps parent, affiliates, or subsidiaries (“Affiliate Personnel”), a family member of Affiliate Personnel, or live in the same household with Affiliate Personnel; or (c) an employee or contractor of any of ProsperOps advertising or promotion agencies (“Agency Personnel”) a family member of Agency Personnel, or live in the same household with Agency Personnel.
  • No current or previous business with Sponsor. You may not register if you or the company you represent are currently a customer, reseller, referral partner, or otherwise affiliated with ProsperOps. You may not register if you or the company you represent are already in active sales discussions with ProsperOps or have already been disqualified as a prospective customer. 
  • No public officials. You may not register if you are a (i) person who works for or is an advisor to a government or a public international organization (including entities owned or controlled by such a government or organization); (ii) any officer, employee, or person acting on behalf of a state enterprise, agency, or political party; or (iii) any candidate for political office.  For purposes of this restriction, family members, close friends, significant other, or business partners of any of the forgoing also are considered public officials. 
  • Only one registrant per company. Only one (1) individual from a company is eligible to register for the Giveaway; the first individual from a company to register shall be eligible and subsequent registrants from the same company are not eligible.

Anti Corruption Compliance. By registering for the Giveaway, you certify that acceptance of a Prize does not violate any applicable company policies or anti-bribery/anti-corruption laws, including but not limited to the U.S. Foreign Corrupt Practices Act and the UK Bribery Act.

Acceptance of Terms, Release of Liability, Indemnification. The Giveaway is offered subject to and all registrants agree to these Giveaway Terms and Conditions and the ProsperOps Live Demo terms located at the link listed below.  Each registrant releases ProsperOps and its affiliates from any and all liability and damages (including consequential or incidental damages, attorney fees, and/or court costs) that may arise in connection with their participation in and registration for the Giveaway to the maximum extent permitted by applicable law. Each registrant further agrees to indemnify and hold harmless ProsperOps and its affiliates from: (a) any liability or damage suffered by such registrant arising from their participation in and registration for the Giveaway; and (b) any liability or damage suffered by ProsperOps or a third party as a result of a registrant’s violation of these Giveaway Terms and Conditions or the ProsperOps Live Demo Terms found on the ProsperOps website at: https://www.prosperops.com/prosperops-live-demo-promotion-terms-and-conditions/

Taxes. If the Giveaway-awarded gift card is includable in the registrant’s income for tax purposes, the registrant is solely responsible for properly reporting the prize to the appropriate taxing authority.

Lost, Stolen, Missing Prizes.  ProsperOps is not required to replace any prizes or gift cards that are lost, stolen, missing, or made unusable due to damage.

Publicity and Contact. All registrants consent to ProsperOps’ use of their name and likeness for promotional purposes in any or all media now existing or created in the future, in any manner, worldwide in perpetuity, without notice, and without compensation or further permission. By participating in and registering for the Giveaway, each registrant expressly authorizes ProsperOps to contact the registrant using the contact information provided by registrant.

General Terms: No more than 100 Prizes will be awarded in total. Each eligible participant may receive only one (1) Prize. Sponsor reserves the right to cancel, modify, or suspend the Giveaway at any time without notice. All determinations of eligibility are at Sponsor’s sole discretion. No purchase necessary. 

California Consumer Privacy Act Notice (CCPA Notice). If you are a California resident, you have certain rights under the California Consumer Privacy Act (“CCPA”). By registering for the Giveaway, you acknowledge and agree that we will collect personal information such as your name, email address, and jurisdiction of residence. This information is collected for the purposes of conducting the Giveaway, contacting registrants, running a Live Demo, and distributing Prizes. We do not sell your personal information. We may be required to retain and publicly disclose limited information as required for legal compliance with applicable laws. 

Governing Law.  The Giveaway is governed by the laws of the State of Texas and the laws of the United States of America, as applicable, excluding any law that require the application of the law of a different jurisdiction.  Any legal claim against ProsperOps may be brought only in courts sitting in Travis County, Texas and each registrant agrees not to dispute the jurisdiction of courts sitting in Travis County, Texas.
